Terms of Service

Subject to these Terms of Service (“Agreement”), Red‑QR (“Red‑QR,” “we,” “us,” or “our”) provides access to its cloud‑based platform (the “Service”). By accessing or using the Service, you agree to be bound by this Agreement.

If you accept this Agreement on behalf of a company or other legal entity, you represent that you have authority to bind that entity; in that case, “you” refers to the entity. If you lack such authority or do not agree to these terms, you may not use the Service.

1. Acceptance of Terms

By signing up for, or otherwise using, the Service, you agree to be bound by this Agreement.

2. Description of Service

Red‑QR provides a cloud platform that automatically processes tax‑related information from receipts and other payment documents, allowing users to store, analyze, and export such data. The Service is accessible via red-qr.com and other domains or subdomains we control.

3. Acceptable Use

You are responsible for everything you upload, create, or transmit through the Service. You may not use the Service for malicious or unlawful purposes, including but not limited to:

  • Phishing, fraud, or scam activity
  • Pornography or sexually explicit content
  • Illegal betting or gambling
  • Infringement of copyright or other intellectual‑property rights
  • Distribution of malware, viruses, or harmful code

We may suspend or terminate your access if, in our sole judgment, you violate this policy.

4. Messages

We text you for: OTP (security), coupons, and promos only. We charge nothing, but your carrier’s rates may apply.

You can Opt-Out by turning off coupon & promo texts anytime in Account Settings → Notifications. OTP texts stay on unless you close your account.

5. Intellectual Property Rights

The Service and all related content, software, designs, text, graphics, and other materials are owned by Red‑QR or its licensors and are protected by applicable copyright, trademark, patent, trade‑secret, and other intellectual‑property laws. Except for the limited rights expressly granted in this Agreement, no license or ownership right is conveyed to you.

6. Receipts & Data

  • Your receipts stay yours. Anything you upload (“Receipt Data”) remains your property.
  • How we may use them: you allow us to store and process Receipt Data only to run and improve the Service and to meet legal obligations.
  • Our analysis is ours. Data we create from your receipts—OCR text, categories, statistics (“Derived Data”)—belongs to Red‑QR. You may view and export Derived Data through the Service for your own use.
  • Your promise: you have the right to upload the receipts and are not violating anyone’s rights or any law.
  • Deletion on request: if you close your account or ask us, we will delete or anonymize your Receipt Data within a reasonable time unless the law requires us to keep it longer.

7. Changes to These Terms

We may revise this Agreement at any time by posting the updated version on our website. All changes are effective immediately upon posting. Your continued use of the Service after a change is posted constitutes your acceptance of the revised Agreement.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING TITLE, NON‑INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.

10. Limitation of Liability

IN NO EVENT WILL RED‑QR OR ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OR OFFICERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Governing Law and Jurisdiction

This Agreement is governed by the laws of the State of New Jersey, U.S.A., without regard to conflict‑of‑law principles. Any legal action arising out of or relating to this Agreement or the Service shall be brought exclusively in the state or federal courts located in New Jersey, and each party consents to the personal jurisdiction of those courts.

By using RedQR, you acknowledge that you have read, understood, and agree to these Terms of Service. If you do not agree, you are not authorized to use the Service. We reserve the right to change these Terms of Service at any time, so please review them frequently.
